By purchasing, downloading, installing or using the Theme you ("Licensee", "you") accept this EULA and the Neutrino Terms & Conditions (the "Terms"). If you are accepting on behalf of an organisation, you confirm you have authority to bind it. If you do not agree, do not purchase or use the Theme.
This EULA stays hosted at https://neutrino.website/end-user-licence-agreement/. Any future change will be issued under a new version number at the same address. The version in force at the time of your purchase governs that purchase.
1. Definitions
Capitalised words have the meanings given in the Terms unless defined here.
- Theme: the Neutrino theme software for Ghost, including its files, templates, styles, scripts, assets and Documentation, and any Updates delivered to you.
- Documentation: the support documentation for the Theme that we make available.
- Site: a single Ghost website served on one production domain, together with any number of staging or development copies of that same website. Staging and development copies do not count as separate Sites.
- Licence: one right to use the Theme on one Site. The Unlimited tier grants one Licence per Site you operate or build for a client.
- Tier: the product you purchased: Single, Unlimited or Ongoing, as described in clause 4 of the Terms.
- Entitlement: the time-limited right to receive Updates and, on the Ongoing tier, Automatic Update Delivery and human support. Entitlement is separate from the Licence to use the Theme.
- Update Window: the twelve (12) months of Entitlement that start on each purchase or renewal date.
- Owned Version: the most recent version of the Theme you received during your Update Window.
- Update: a new version or maintenance release of the Theme that we make available.
- Automatic Update Delivery: the optional Ongoing-tier service by which we push Updates to your Site through the Ghost Admin application programming interface (API), described in clause 9 of the Terms.
- Theme Credit: the preset footer text "Published with Ghost and Neutrino theme" that the Theme ships with.
- Merchant of Record (MoR): Lemon Squeezy, the third-party platform that sells the Theme to you as seller of record, processes payment and taxes, issues your Licence Key and holds your order history.
- Licence Key: the key issued by the MoR with your purchase, which identifies it and unlocks our Download Service.
- Download Service: our download page, which serves Theme files against a valid Licence Key, as described in clause 8.4 of the Terms.
- Open Source Software: software distributed under a licence that requires, as a condition of use, copying, modification or distribution, that the software be made available in source form, be licensed for making derivative works, or be redistributed at no or minimal charge.
2. Licence grant
2.1 Grant
Subject to this EULA and the Terms, we grant you a perpetual, worldwide, non-exclusive, non-sublicensable and (except as clauses 2.4 and 10.3 allow) non-transferable Licence to install and use the Theme on:
- Single: one (1) Site that you own or operate, or build for a client.
- Unlimited: any number of Sites that you own or operate or build for your clients.
- Ongoing: one (1) Site that you own or operate, or build for a client.
2.2 Perpetual use
The Licence in clause 2.1 does not expire. When your Entitlement ends you keep the right to use any version you received during your Update Window, and the Documentation, on the licensed Site(s) indefinitely. The end of Entitlement never requires you to stop using the Theme. Only termination under clause 10.2 does.
2.3 Entitlement and the Update Window
Every purchase includes a twelve-month Update Window from the purchase date. On the Ongoing tier, each annual renewal starts a further twelve months. You are licensed to receive and install any version released during your Update Window; the Download Service serves the five most recent of them. A version you have received is yours to use indefinitely under clause 2.2, whether or not it remains available for re-download. Versions released after your Update Window ends are not licensed to you until you purchase a new Licence or renew. Entitlement is measured in whole calendar days, UTC.
2.4 Client Sites and handover (all tiers)
You may buy any Tier for a Site you build for a client, and you may hand the Licence for that Site to the client when you transfer the Site to them. The handover is between you and the client and does not involve us. On handover:
- the client becomes the Licensee for that Site under this EULA and the Terms, and you cease to hold a Licence for it (on Unlimited, your right to license further Sites is unaffected);
- the Licence Key and the Theme files go with the Licence. Both you and the client may use them to operate and update that Site; neither may use them for any other Site;
- the client may use, modify and keep the Theme on that Site indefinitely under clause 2.2, and benefits from whatever Entitlement remains on the purchase for as long as it runs;
- the purchase itself stays where it was made. Licence records, the support site account, renewal reminders and all other notifications are tied to the email address of the MoR account that bought the Licence and cannot be extended to a second address. Human support (Ongoing) is answered only from that address. If the client wants Entitlement in their own name, they purchase their own Licence.
A handover is a transfer of one Licence to the operator of the Site it covers, in the same way as a transfer on sale of a business under clause 10.3. It is not redistribution, and it does not permit either party to supply the Theme's files or Licence Key to anyone else or use them on any other Site.
2.5 Additional Sites
To use the Theme on more Sites than your Tier authorises, purchase an additional Licence. Tiers are separate products; there is no credit, proration or conversion between them.
3. Modification and Theme Credit
3.1 Permitted
You may modify and customise the Theme, including its code, templates, styles and assets, for use on your licensed Site(s). The Theme Credit is a preset value only; you may edit or remove it on your licensed Site(s) without restriction.
3.2 Effect of modification
Modification does not transfer any ownership of the Theme to you. We are not obliged to support, fix or maintain a modified copy, and the warranty in clause 11 does not cover issues arising from your modifications.
4. Restrictions
4.1 You may not, and may not allow anyone else to:
- redistribute, resell, sublicense, lease, rent, publish or otherwise make the Theme or any of its files available to any third party, in original or modified form, except as the natural result of serving a licensed Site to its visitors or as clause 2.4 permits;
- use the Theme, or any substantial part of it, as the basis for a theme, template, starter kit, component library or similar product offered to third parties, whether free or paid, and whether or not modified;
- use your Licence Key or downloaded files, or allow them to be used, for any Site other than your licensed Site(s), or publish them;
- use the Theme on more Sites than your Tier authorises;
- claim authorship of the Theme, or remove or obscure our copyright and proprietary notices in the Theme's source files (replacing or removing the Theme Credit under clause 3.1 is permitted);
- use our name, logo, screenshots, demo content or other brand assets to promote, bundle or advertise any product or service, or to create an aggregator, directory or "brand hub" page, without our prior written permission;
- use the Theme on a platform other than Ghost, or in a product or service supplied to end users where the Theme forms part of what those users receive, without a separate written agreement with us;
- use the Theme in breach of applicable law, or allow use by a person or entity subject to sanctions under UK, EU, US or UN law.
4.2 Documentation
Use of the Theme must comply with the Documentation and the Site limits of your Tier.
5. Ownership
The Theme is licensed, not sold. We retain all right, title and interest in the Theme, including all copies and modifications, whether created before or after your purchase. Your rights are limited to those expressly granted in this EULA.
6. Showcase
We may display the name, logo and screenshots of any Site running the Theme in a showcase gallery on our website and in our marketing materials. We will not display personal names. Any other public statement about you, such as a testimonial or quote, is made only with your opt-in. If you would rather not be featured, tell us at the address in clause 15.11 and we will remove your Site within a reasonable time.
7. Feedback
You may give us feedback about the Theme but are not required to. Feedback is given "as is". We may use feedback without restriction or obligation to you.
8. Open Source Software
The Theme may include Open Source Software (for example fonts, scripts or libraries) subject to its own licence. To the extent an Open Source Software licence requires it, that licence governs the relevant component instead of this EULA, and any restriction in this EULA that the Open Source Software licence prohibits does not apply to that component. We provide these components without warranty and accept no liability for them. Required notices are included with the Theme files, and we will provide a list of Open Source Software in your version on request.
9. Updates, Entitlement and support
Updates, the Ongoing subscription, Automatic Update Delivery, support scope and the compatibility floor are governed by clauses 8 to 10 of the Terms. In summary:
- All tiers: a twelve-month Update Window per purchase or renewal; Documentation indefinitely.
- Ongoing: Entitlement renews annually while the subscription is active; human support; Automatic Update Delivery.
Installing Updates manually is your responsibility, and we recommend keeping your own copy of each version you install. The warranty in clause 11 and the compatibility floor in clause 8.3 of the Terms assume you have installed available Updates within a reasonable time.
10. Term, suspension, termination and transfer
10.1 Term
A Licence starts on your purchase date and continues indefinitely, subject to clauses 10.2 and 10.4.
10.2 Termination
A Licence terminates:
- on full refund: on the date the MoR issues a refund of the full purchase price, which reverses the sale. A partial refund does not affect the Licence;
- on breach: if you redistribute the Theme, use it to build a product for third parties, or otherwise materially breach clause 4 of this EULA or the Terms, every Licence you hold terminates automatically. Such breaches are committed by you, not by a particular Site, and cannot be attributed to a single purchase. If the breach consists only of exceeding your licensed Site count, we will first give you fourteen (14) days' notice to remove the Theme from the excess Sites or buy the missing Licences; only if you do not will your Licences terminate.
On termination you must stop using the Theme on the affected Site(s) and delete all copies, including from staging and development environments. Termination is different from the end of Entitlement (clause 2.2), which never affects your right to use the Theme.
10.3 Moving domains and transfer
You may move a licensed Site to a new production domain, provided the original domain stops using the Theme. On the Ongoing tier, you repoint Automatic Update Delivery to the new Site yourself through the connection page. You may transfer a Licence to a successor if you sell or transfer the Site, or the business that operates it. The transfer is between you and the successor and does not involve us; the successor accepts this EULA and the Terms on transfer, and any remaining Update Window transfers with it. An Ongoing subscription remains with the MoR account that holds it unless the MoR moves it; a successor who wants their own Entitlement purchases a Licence. Any other transfer or assignment requires our prior written consent; attempted transfers outside this clause or clause 2.4 are void.
10.4 Suspension
If we reasonably believe you are in breach of clause 4, we may suspend your Entitlement (Updates, Automatic Update Delivery and human support) with or without notice. We will try to tell you before suspending where practical, and will reinstate Entitlement once the underlying issue is resolved. Neither a failed renewal payment nor an open payment dispute or chargeback is a suspension trigger: Entitlement continues through the MoR's payment-recovery process and while a dispute is being decided. A dispute that ends in a full refund is treated as a refund under clause 10.2(1). Suspension does not affect your right to use your Owned Version unless the Licence is also terminated under clause 10.2.
10.5 Automatic Update Delivery cut-off
Your Automatic Update Delivery connection is disabled automatically when the MoR reports that your subscription has expired (including at the end of the paid term following a cancellation, or when payment recovery is exhausted), or that the purchase has been refunded in full (including where a dispute or chargeback ends in a full refund), or when we suspend under clause 10.4. An open dispute or chargeback does not disable the connection until it is decided. The stored credential is destroyed thirty (30) days later, or immediately if you disconnect. Clause 9 of the Terms sets out how the credential is held and used.
10.6 Survival
Clauses 4, 5, 6, 7, 8, 11, 12, 13, 14 and 15 survive termination.
11. Warranty
11.1 Our warranty
We warrant that, for ninety (90) days from your purchase date (the "Warranty Period"), the Theme will substantially conform to the Documentation and will render consistently and function correctly on the latest stable releases of Chrome, Firefox, Safari and Edge, when installed and used on a supported Ghost version in accordance with the Documentation.
11.2 Exclusions
The warranty does not cover issues arising from: your modifications; improper installation; use outside the Documentation or the licensed scope; conflicts with third-party products, services, integrations or hosting; unsupported browsers; a Ghost release we have not yet supported; or your failure to install an available Update within a reasonable time.
11.3 Remedy
If we breach clause 11.1, we will, at our option, repair the defect in a subsequent Update, correct the Documentation, or, if neither is reasonably possible, refund the price paid for the affected purchase, on which the Licence terminates under clause 10.2(1). This is your exclusive remedy for breach of clause 11.1.
12. Disclaimer
Except for clause 11.1 and any rights that cannot be excluded by law, the Theme is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all other warranties and conditions, express or implied, including satisfactory quality, merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Theme will be error-free or uninterrupted, or compatible with every configuration, modification, third-party product or future Ghost release.
13. Limitation of liability
13.1 What is not limited
Nothing in this EULA excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
13.2 Excluded losses
Subject to clause 13.1, we are not liable, under any legal theory, for indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, goodwill, data or business, arising from or relating to this EULA or the Theme, even if advised of the possibility.
13.3 Cap
Subject to clause 13.1, our total aggregate liability arising from or relating to this EULA and the Terms is limited to the amount you paid for the purchase that gave rise to the claim.
14. Indemnity
You will indemnify and hold us harmless from any claim, demand, loss or expense (including reasonable legal fees) arising from your misuse of the Theme, your breach of this EULA or the Terms, your modifications to the Theme, or content you publish on a Site using the Theme.
15. General
15.1 Payment, taxes and refunds
Your purchase is made from the MoR as seller of record. Prices are shown exclusive of VAT and sales tax; the MoR calculates and adds applicable tax at checkout based on your location. Billing, renewal and refund processing are subject to the MoR's terms, which govern those operational matters in the event of conflict.
15.2 Consumer rights
If you are a consumer, clause 23 of the Terms applies: by purchasing and accessing the Theme you request immediate supply of digital content and acknowledge you lose the statutory 14-day right to cancel once download or access has begun. Your other statutory rights are unaffected.
15.3 Discontinuation
If we discontinue the Theme, clause 19 of the Terms applies. Your perpetual Licence under clause 2.2 survives discontinuation.
15.4 Data protection
Personal data collected in connection with your purchase, Download Service use, support requests, showcase listing and Automatic Update Delivery is handled under our Privacy Policy at https://neutrino.website/privacy-policy/ and applicable data protection law, including the UK General Data Protection Regulation (UK GDPR).
15.5 Entire agreement and precedence
This EULA, the Terms, our Privacy Policy and the MoR's terms applicable to your transaction are the entire agreement about the Theme. If this EULA and the Terms conflict, the Terms govern commercial matters (tiers, updates, support, subscriptions, refunds, discontinuation) and this EULA governs the scope of each Licence and the restrictions.
15.6 Changes
We may issue a new version of this EULA. A new version applies only to purchases made after its effective date.
15.7 Severability and waiver
If any provision is unenforceable it will be limited or removed to the minimum extent necessary and the rest remains in force. Failure to enforce a provision is not a waiver.
15.8 Assignment by us
We may assign this EULA, in whole or in part, in connection with a sale or restructuring of the business or the Theme.
15.9 Relationship and third parties
We are independent contractors. There are no third-party beneficiaries of this EULA.
15.10 Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of the MoR or Ghost.
15.11 Notices
Notices to us go to support at aboutblank dot studio. Notices to you go to the email address on your MoR account.
15.12 Governing law and courts
This EULA is governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction, save that this does not deprive a consumer of the protection of mandatory provisions of the law of their country of residence.
15.13 Interpretation
Section titles are for convenience. "Including" is non-exhaustive.
